The book incorporates provisions of The Companies Act, 2013, as amended up to the year 2020. The Companies Act, 2013 was an overhaul of The Companies Act, 1956, but despite that, it has been amended four times, with the essential objective of being business-friendly and imbibing best practices from across the globe on corporate governance and investor protection. Administration of provisions of The Companies Act is carried out through Companies Rules, 2014, which too have been amended from time to time. To get a wholesome understanding of The Companies Act, the text of the book has been interspersed with relevant amended provisions in Companies Rules, 2014.
In this revised edition, an attempt has been made to drive away from the dull and monotonous nature of the Act, to present text in a more lucid, business language, to help students comprehend the concepts and easily retain the same from examination perspective. The flow of the book is lecture based, rather than essay based. The text has been suitably interspersed with contemporary practical examples, which will help students to relate the concepts and provisions of the Act as they savour the happenings in business environment, constantly being streamed to them, through various media, even if they donโ€™t read newspapers or watch business television.
The book contains practical examples on the kinds of companies, model forms of MoA and AoA, types of prospectusโ€”shelf and red herring, together with real-life examples. Real-life, recent examples from the corporate world have been incorporated in the chapters on Meetings, Directors, AGM, EGM, Proxy, Postal Ballot, Women Directors,
Buy-back of Shares, Rights Issue, Private Placement, etc.
The chapter on Insolvency and Bankruptcy Code has been merged with the chapter on Winding Up while the chapter on Depositories Act has been totally recast.
