The Companies Act, 2013 was an overhaul of The Companies Act, 1956, but despite that, it has been amended four times, with the essential objective of being business-friendly and imbibing best practices from across the globe on corporate governance and investor protection. Administration of provisions of The Companies Act is carried out through Companies Rules, 2014, which too have been amended from time to time. To get a wholesome understanding of The Companies Act, the text of the book has been interspersed with relevant amended provisions in Companies Rules, 2014. In this revised edition, an attempt has been made to drive away from the dull and monotonous nature of the Act, to present text in a more lucid, business language, to help students comprehend the concepts and easily retain the same from examination perspective. The flow of the book is lecture based, rather than essay based.
